napo terms of service

these terms of service ("terms") govern your access to and use of napo, an ai-powered video editing and video generation platform ("napo", "we", "us", or "our").
by creating an account or using napo, you agree to these terms. if you do not agree with these terms, you must not use the service.

1. about napo

napo provides ai-powered tools for video editing, video generation, video processing and related creative workflows.
depending on your plan and the features available to you, napo may provide: ai video editing, ai video generation, video and scene analysis, transcription, captions and subtitles, automated cuts and edits, content transformation, creative generation, media processing, project management, video rendering and export.
features may change, be added, or be removed over time.

2. eligibility

you may use napo only if you are legally permitted to enter into these terms.
if you are using napo on behalf of a company, organisation, or other entity, you confirm that you have authority to accept these terms on its behalf.

3. your account

you are responsible for:

  • providing accurate account information
  • keeping your account credentials secure
  • all activity occurring through your account
  • notifying napo if you believe your account has been compromised

you must not use another person's account without permission.

4. user content

"user content" means videos, images, audio, text, scripts, prompts, project files, reference material and other content that you upload, submit, create or provide through napo.
you retain ownership of your user content.
you are responsible for ensuring that you have all necessary rights, licences, permissions and consents required to upload, process, edit, generate or distribute your content through napo.
this includes rights relating to: people appearing in your content, music, video footage, photographs, logos and trademarks, scripts, voice recordings, third-party content, copyrighted material.

5. permission to process your content

you grant napo a limited, non-exclusive, worldwide licence to host, store, reproduce, process, modify, transmit and otherwise use your user content only as reasonably necessary to: provide the services, process your instructions, generate requested outputs, maintain your projects, provide technical support, maintain security, prevent abuse, comply with legal obligations.
this licence does not transfer ownership of your user content to napo.

6. ai processing

napo uses artificial intelligence and third-party technology providers to provide certain features.
depending on the feature you use, your content may be processed by ai models, cloud infrastructure or other technology providers.
this may include: text, prompts, video frames, audio, transcripts, images, project information, editing instructions, other information required to perform the requested operation.

7. ai generated content

napo may generate videos, images, audio, text, edits, captions and other outputs based on your instructions.
ai-generated content may: contain errors, contain unexpected results, resemble existing material, be unsuitable for your intended purpose, not be unique, require additional editing or review.
you are responsible for reviewing generated content before publishing, distributing or commercially using it.

8. ownership of generated content

to the extent permitted by applicable law, napo does not claim ownership of output generated specifically for you merely because you created it using napo.
however, rights in ai-generated or edited material may vary depending on applicable law, the underlying models, source material, third-party services and other circumstances.
you are responsible for determining whether your intended use of generated content is legally permissible.

9. prohibited use

you must not use napo to:

  • violate applicable law
  • infringe intellectual property rights
  • violate another person's privacy or other rights
  • upload content you do not have permission to use
  • distribute malware or malicious code
  • attempt to gain unauthorised access to napo
  • interfere with the service or infrastructure
  • bypass usage limits or security controls
  • impersonate another person or organisation
  • commit fraud or facilitate unlawful activity
  • abuse napo's infrastructure
  • reverse engineer proprietary systems except where legally permitted
  • use napo to attack or compromise another system
  • use the service in a way that creates unreasonable risk to napo or other users

10. subscriptions and payments

some napo features require a paid subscription.
prices, features, credits and usage limits will be displayed before purchase.
subscriptions may automatically renew unless cancelled before the applicable renewal date.
payments may be processed through third-party payment providers.
applicable taxes may be added where required by law.

11. credits and usage

some napo features may use credits or usage limits.
your plan may specify: included credits, generation limits, export limits, processing limits, storage limits, chat tokens, other usage restrictions.
credits have no cash value unless expressly stated otherwise.
napo may change usage requirements and pricing for future purchases, subject to applicable law and any required notice.

12. refunds

refunds are governed by the napo refund policy.
nothing in these terms limits consumer rights or other rights that cannot legally be excluded.

13. service availability

we aim to keep napo reliable, but we do not guarantee that the service will: always be available, operate without interruption, be error-free, successfully process every file, produce a particular result, remain unchanged.
the service may be unavailable due to maintenance, technical issues, third-party services, security incidents or circumstances outside our reasonable control.

14. third-party services

napo may use or integrate with third-party services, including cloud infrastructure, payment providers, ai providers, analytics providers and other technology services.
third-party services may have their own terms and privacy policies.

15. intellectual property

napo and its licensors own all rights in napo's software, technology, interfaces, branding, trademarks, website, systems and other proprietary materials.
except where expressly permitted, you may not copy, distribute, modify, reverse engineer, sell or commercially exploit napo's proprietary technology.

16. feedback

if you provide feedback, suggestions or ideas about napo, you permit napo to use that feedback without compensation or restriction.
this does not transfer ownership of your independent intellectual property.

17. account suspension and termination

napo may suspend or terminate access where reasonably necessary to: protect the service, investigate security issues, prevent abuse, enforce these terms, comply with applicable law, address payment issues.
where appropriate, napo may provide notice and an opportunity to resolve the issue.
you may stop using napo at any time.

18. account deletion

you may request deletion of your account through available account controls or by contacting napo.
account and content deletion is subject to the napo data retention and deletion policy.

19. disclaimer

to the maximum extent permitted by applicable law, napo provides the service on an "as available" basis.
we do not guarantee that ai outputs will be accurate, complete, unique, error-free or suitable for your intended purpose.
you are responsible for reviewing important outputs before relying on or publishing them.

20. limitation of liability

to the maximum extent permitted by applicable law, napo will not be liable for indirect, incidental, special or consequential losses arising from your use of the service.
nothing in these terms excludes liability that cannot legally be excluded.

21. indemnity

to the extent permitted by applicable law, you are responsible for claims arising from: your unlawful use of napo, your violation of these terms, your violation of another person's rights, content you upload or process through napo.

22. changes to these terms

we may update these terms from time to time.
where required, we will provide appropriate notice of material changes.
continued use of napo after the effective date of updated terms constitutes acceptance where permitted by applicable law.

23. governing law

these terms are governed by the laws of india.
disputes will be subject to the applicable courts and dispute resolution mechanisms specified by napo, subject to applicable law.
